AMD and OpenAI announced today (6th) a 6 gigawatt cooperation agreement to provide computing power for OpenAI’s next-generation AI infrastructure using multiple generations of AMD Instinct GPUs. The first deployments of the 1 gigawatt AMD Instinct MI450 GPU are expected to begin in the second half of 2026.

OpenAI pointed out that with AMD’s strong leadership in high-performance computing systems and OpenAI’s breakthroughs in generative AI research and innovation, the two companies are standing at the forefront of this critical AI era. As soon as the news came out, AMD surged nearly 25% before the market opened.

According to the final agreement, OpenAI will work with AMD as a core strategic computing partner to promote large-scale deployment of AMD technology, starting with the AMD Instinct MI450 series and rack-scale AI solutions, and expanding to future product generations.

OpenAI pointed out that the two parties will share technical expertise to optimize product roadmaps and deepen the multi-generation hardware and software partnership established since the MI300X and MI350X series. This partnership creates a win-win situation for both parties, not only driving the deployment of hyperscale AI, but also the development of the entire ecosystem.

As part of the agreement, to further align the strategic interests of both parties, AMD has issued warrants for up to 160 million shares of AMD common stock to OpenAI, the rights of which will gradually vest upon the achievement of certain milestones. The first batch of rights will vest after the initial 1 gigawatt deployment is completed, and subsequent batches will vest sequentially as the deployment scale expands to 6 gigawatt.

The vesting of equity is also linked to the achievement of AMD’s stock price target and the completion of OpenAI’s technical and business milestones in promoting the large-scale deployment of AMD technology.

AMD Chairman and CEO Su Zifeng said that he is pleased to cooperate with OpenAI to provide AI computing capabilities at a large scale. This collaboration combines the strengths of AMD and OpenAI to create a true win-win, driving the development of the world's most ambitious AI infrastructure and advancing the entire AI ecosystem.
